The dividend policy of the Bank and the decisions of dividends’ payment

The Bank has the right to make decision on the payment of quarterly, semi-annual or annual dividends to its shareholders. Dividends are paid out of net profits on the basis of financial (accounting) year.
The decision on the amount and manner of payment of interim (quarterly and semi-annual) dividends is adopted by the Board of the Bank.
The decision of the payment and the amount of annual dividends is adopted by General Meeting of the Bank on the proposal of the Board. General Meeting also decides the date of payment of dividends.
There is prohibited to pay dividends to the shareholders of the Bank, if the capital of the Bank is not fully paid or, if at the moment the Bank losses are equal to or exceed the amount of retained earnings.
